Terms of Service

1. Agreement to Terms

By accessing or using the SimptechAI website (simptechai.com.au) and services, operated by SIMPTECH SOLUTIONS PTY LTD(ABN: 33 670 880 832), trading as SimptechAI, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

SimptechAI provides digital marketing services including, but not limited to, search engine optimisation (SEO), website design and development, Google My Business management, and pay-per-click (PPC) advertising management. Specific service details, deliverables, and timelines are outlined in individual client agreements.

3. Client Obligations

Clients agree to:

• Provide accurate and complete information required for service delivery
• Grant necessary access to website platforms, analytics, and advertising accounts
• Respond to communications and approve deliverables in a timely manner
• Make payments in accordance with the agreed payment terms
• Not engage in any practices that violate search engine guidelines or applicable laws

4. Payment Terms

Payment terms are specified in individual client agreements. Unless otherwise stated, invoices are due within 14 days of issue. Late payments may incur interest at a rate of 2% per month on the outstanding balance. All prices are in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.

5. No Guarantees

While we employ industry best practices and have a strong track record of delivering results, we cannot and do not guarantee specific search engine rankings, traffic volumes, or conversion rates. Search engine algorithms are controlled by third parties and are subject to change without notice. Past performance is not a guarantee of future results.

6. Intellectual Property

All content, designs, code, and materials created by SimptechAI for clients become the property of the client upon full payment. SimptechAI retains the right to display completed work in our portfolio unless otherwise agreed. All SimptechAI branding, website content, and proprietary tools remain our intellectual property.

7. Cancellation & Termination

Either party may terminate services with 30 days' written notice unless otherwise specified in the client agreement. There are no early termination fees unless a specific project agreement states otherwise. Upon termination, all outstanding invoices become immediately payable.

8. Limitation of Liability

To the maximum extent permitted by Australian law, SimptechAI's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.

9. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation survives the termination of services. Confidential information excludes information that is publicly available or independently developed.

10. Governing Law

These Terms of Service are governed by the laws of the State of Victoria, Australia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Victoria.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services constitutes acceptance of the modified terms.
